Management Contract & Fees:
Pursuant to the Transaction Services Agreement, Arle is appointed to act as advisor in respect of the co-investments which the Company has made alongside the Candover Funds. The Transaction Services Agreement can only be terminated in respect of any particular investment if Arle ceases to be the manager of the Candover Fund which holds that investment. The fees payable by the Company are 1.5% of the aggregate of the book value of the investments (excluding the value of the Companys holdings in the carried interest), payable in advance on a bi-annual basis. Ipes (UK) Limited was appointed on November 2011 to provide fund administration services to the Company, which include but are not limited to accounting, administration and company secretarial services.
