The Manager is entitled to an acquisition fee of 1% of the cost of all properties acquired within the Group plus an annual fee of 1.5% of the total assets. If the total annual dividends fall below the target yield-level of 7.75%, the Manager will rebate a part of their annual fee, up to a maximum of 0.8% of the total assets. To the extent that the return exceeds an IRR of 10% p.a., the Manager will be entitled to 20% of any excess. Barings (Isle of Man) Ltd provide administration and secretarial services to the Group in return for an annual fee of 0.1% of total assets, payable quarterly in arrears. The Property Investment Advisory Agreement may be terminated by any party giving to the others not less than 12 months' notice expiring on or at any time after the fourth anniversary of Admission.
