  • Management Contract & Fees:

    The Investment Manager is entitled to a fee at the rate of 1.0% p.a. of the Company's net assets. The management fee and the performance related fee shall be split between the investment Manager and the Investment Adviser in the proportion 80% to the Investment Manager and 20% to the Investment Adviser. In addition, the Investment Manager will be entitled to receive a performance fee payable annually equal to 10% of total return in excess of a hurdle rate of 8% p.a. subject to a high water mark whereby any underperformance against the hurdle rate in previous years must be caught up before any performance fee in subsequent years can be earned. Additionally, the aggregate fees payable in any year are capped at 2% p.a. of net assets. The Management Agreement is terminable by either party giving 12 months' notice expiring after the second anniversary of Admission. The Administrator is appointed to act as administrator, registrar, and corporate secretary of the Company. The Company pays a quarterly annualised administration fee of 0.12% on the first GBP 100,000,000 in gross market value of the Company's assets, 0.10% on the excess over GBP 100,000,000 calculated as at the last Valuation Day in each month during the relevant quarter, provided that the minimum annual administration fee payable by the Company will be GBP 100,000.
