The Manager, Marwyn Capital Management Limited, and the Investment Manager, Marwyn Investment Management LLP, do not receive a performance or management fee from the Company for the portion of funds invested by the company in Marwyn Value Investors LP. In respect of funds invested by the Company that are not invested in the Marwyn Value Investors LP, the Manager and the Investment Manager are entitled to performance or management fee from the Company on the same basis as they are entitled to receive from Marwyn Investors LP. Under the Master Fund Management Agreement, the Manager will receive monthly management fees from the Master Fund not exceeding 2% per annum of the NAV of each class of share in the Master Fund, payable monthly in arrears.
