The Investment Manager will be paid a management fee of 1.05% p.a. of the NAV of the Company, payable quarterly in arrears. The Investment is also entitled to a performance fee. The performance fee will amount to 15% of the increase in the year end adjusted NAV per Ord above the Target NAV per Ord (Opening Net Asset Value per ordinary share adjusted by the movement on the Qatar Exchange Index) multiplied by the time weighted average number of Ordinary Shares in issue during the relevant Performance Period. The fee is subject to a high water mark. The Administrator shall be entitled to receive a fee of 15 basis points p.a. of the NA between USD 0 and USD 100m; 12.5 basis points p.a. of the NA between USD 100m and USD 200m and 10 basis points p.a. of the NA in excess of USD 200m, subject to a minimum monthly fee of USD 15,000 calculated weekly and payable quarterly in arrears. The Custodian is entitled to receive fees of USD7,200 per annum and USD 25 per processed transaction from Qatar Investment Fund PLC. In addition the Custodian is entitled to receive fees of 8 basis points per annum in respect of Qatari securities held by the group and 10 basis points per annum in respect of non-Qatari, GCC securities held by the group and USD45 per settled transaction (Qatar)/USD50 per settled transaction (GCCC excluding Qatar). The annual fee will reduce to 1% of NAV from 01-Nov-15. There will be no changed in the performance fee arrangements.
