  • Management Contract & Fees:

    The Manager is entitled to receive a base fee together with reimbursement of reasonable expenses incurred by it in the performance of its duties. The base fee will be equal to 0.375% per quarter of the NAV of the Company, calculated quarterly and payable in advance, using an implied straight-line increase in NAV of 10% per annum on a basis which increases 2.5% per quarter. In addition, the Investment Manager is entitled to a performance fee if the net asset value per share at the end of each Performance Period exceeds the Performance Hurdle for such financial period as defined in the Company's prospectus. The Investment Management Agreement may be terminated by either party on three years notice, such notice not being given prior to the seventh anniversary of the agreement.
