  • Management Contract & Fees:

    The terms of the Sigma Management Agreement are based on the Ordinary Pool Management Agreement but with principal differences. There is a base management fee of 1.10 per cent per annum on the Net Asset Value of the Sigma Pool. A performance fee will be payable if the total return of the adjusted net assets attributable to holders of Sigma Shares outperforms the total return of the Companys benchmark plus 2 per cent. Any fee payable is the amount equivalent to the adjusted net assets attributable to holders of Sigma Shares at 31 March each year, multiplied by the percentage out-performance, multiplied by 20 per cent. The maximum performance fee payable in any period will be 5 per cent of the adjusted net assets. If the total return on adjusted net assets attributable to holders of Sigma Shares for any performance period is less than the hurdle rate for the relevant performance period, such under-performance will be carried forward. Capita Sinclair Henderson provides all of the services under the Secretarial Agreement for a payment of an annual fee of GBP 45,000. Termination requires 6 months notice. The Company has agreed to pay the Administrator GBP 255,000 per annum, termination requires 90 days notice.
