The Investment Adviser will be paid a fee of 2% of invested funds. The fee is payable quarterly in advance and will be calculated by reference to the value of the investment at the time that the investment is made and not by reference to any revaluation of the investment. The Investment Adviser will receive a performance fee provided that a cumulative rate of return of 10% p.a. has been achieved on the Net Proceeds of the Placing. No performance fee will be payable in relation to any gains representing this first 10% return. In respect of a return of between 10% and 12% per year, 100% will be paid to the Investment Adviser as a performance fee. In respect of a return of above 12% p.a., the Investment Adviser will receive a performance fee of 20% of such return. A annual administrator fee is caculated by GBP 85,000 plus a fee based on time spent charged at standard rates for certain accounting services.
