  • Objective:

  • Management Contract & Fees:

    The Investment Consultant will be paid an advisory fee of 2% p.a. of the NA, payable quarterly in advance. The Investment Consultant will be entitled to a performance fee in certain circumstances. The performance fee will be paid only if the Adjusted NAV per Ord at the end of the relevant performance period exceeds an amount equal to the Placing Price increased at a rate of 8% p.a. on a compounding basis up to the end of the relevant performance period (the performance hurdle). No performance fee shall be payable unless the high watermark has been exceeded. The high watermark will be exceeded if the Adjusted NAV per Ord at the end of the relevant performance period is higher than the highest previously recorded Adjusted NAV per Ord at the end of the last performance period in relation to which a performance fee was last earned. The Company may pay introductory fees to intermediaries who introduce investment opportunities resulting in investments by the company. Such fees equate to 1 to 5% of the value of the investment. Administrator will receive an initial annual fee of 0.1% p.a. (subject to a minimum of GBP 125,000). Custodian will receive a fee from the Company based on the NA subject to a minimum annual fee of GBP 10,000. The fee will be equal to 0.05% of the first GBP 35m of NA, 0.04% of the next GBP 35m and 0.03% of the NA in excess of GBP 70m. The agreement is terminable giving not less than 3 months notice. The Registrar will receive a minimum fee of GBP 4,500 p.a..
