To generate risk-adjusted returns through a combination of yield and capital appreciation as a result of investing in a diversified portfolio of properties located primarily in Romania but also in the broader SEE and CEE region.
All investment advisory and portfolio management services are provided exclusively by the Investment Adviser, a wholly owned subsidiary of the Company which employ the Founder and Dimitris Raptis. All asset management and administration services are provided to the relevant property owning members of the Group by the Asset Manager (which is currently owned by a Founder Company and which, pursuant to the Asset Manager Acquisition Agreement, is expected to be acquired by the Company within three months after Admission). Under the terms of the Administration Agreement, the Administrator is entitled to various fees, including a minimum annual administration fee of EUR 36,000, a financial reporting fee of £ 8,000-12,000, and a value fee of 0.00885% by which the gross asset value of the Company exceeds EUR 50,000. All other ongoing expenses of the Group are paid by the relevant member of the Group including, without limitation, the incidental costs of acquiring, managing and disposing of investments and the implementation of the Investing Policy; the salary and related costs due to the members of the Senior Management Team employed by the Investment Adviser and (on completion of the acquisition of the Asset Manager pursuant to the Asset Manager Acquisition Agreement) to the executives employed by the Asset Manager; travel, accommodation and printing costs; website maintenance; accounting, audit, legal and valuation fees and annual AIM fees. All out of pocket expenses of the Administrator, the Registrar and the Directors relating to the Company that are reasonably and properly incurred will be borne by the Company.
