  • Management Contract & Fees:

    The Company will pay to the Investment Manager an annual base management fee of 0.90% p. a. of the net assets of the Company provided that this fee shall be 0.85% p.a. if the net assets of the Company are below £ 60m, and an annual performance fee of 10% of the amount by which the total return of the Company's portfolio is in excess of the total return of the IPD Healthcare Index. The maximum amount of the total fees payable by the Company to the Investment Manager shall be limited to 1.25% p.a. of the average net assets of the Company over that year. The Investment Management Agreement is terminable by any of the parties to it on six months' written notice, subject to an initial minimum period of notice of three years from Admission.
